hereinafter referred to as “O-REASON
The terms used in these General Conditions of Use (General Conditions) are to be understood as follows:
- “User”: any individual who downloads, installs or uses the O-REASON application.
- “Application”: the O-REASON application.
Use of the Application is always subject to the rights and obligations set out in these Terms of Use (hereinafter referred to as the “Terms”). Reference to these Terms implicitly includes reference to the Privacy Policy. No waiver of these Terms is permitted.
These Terms apply to both O-REASON and the User. You are considered a User from the moment you download, install or use the Application, whether or not you have previously registered. By simply using the Application, you are presumed to have recognized and expressly accepted the definitive and exclusive application of these Conditions. Please make sure that you have read and understood all the terms.
O-REASON reserves the right to modify these Terms at any time. The User will always be kept informed of any such modification.
- RIGHT OF USE
2.1. O-REASON grants the User a non-exclusive and non-transferable right of use. You are deemed to have accepted this right of use simply by installing the Application. This right of use is limited to normal use of the Application, in compliance with the present Terms, current legislation, the rights of third parties and the general principles applicable to the Internet. Only one right of use is granted per User.
2.2. Under no circumstances does the right of use confer upon the User the right to :
- Republish, redistribute, transfer or license the Application or its contents;
- Rent, sell or market the Application ;
- Reproduce the Application for the purposes of exercise, study or personal use (the only form of copying authorized is backup copying);
- Remove O-REASON’s authorship information from the Application;
- Modify the Application (or copies thereof) without prior authorization.
2.3 In addition, it is forbidden:
- Use computer programs to collect and enter data. Spiders, crawlers, robots or any other type of similar software are strictly forbidden;
- Use the Application for spamming, chain letters, phising or similar purposes;
- Harass other Users or attempt to persuade them of political or religious beliefs;
- Unauthorized access to the user profiles of other Users.
2.4. O-REASON reserves the right to take all reasonable and appropriate measures in the event that the User contravenes these General Terms and Conditions, current legal regulations, the rights of third parties, or the general principles applicable on the Internet. In particular, O-REASON may temporarily or permanently deprive the User of its right to use the Site. O-REASON is not obliged to inform the User in advance of the measures taken. If the User is of the opinion that these measures have been taken unjustly, the User may always inform O-REASON of this in writing or by e-mail. O-REASON is in no way obliged to cancel the measure that has been taken and is not liable for any form of compensation.
2.5. The User may at any time and without obligation of motivation decide to terminate his right of use by ceasing to use the Application. Such cessation of use does not imply automatic deletion of the User Profile. If the User wishes to permanently delete his/her user profile, he/she must send a written, dated and signed request to O-REASON, by post or e-mail. O-REASON undertakes to inform you of the action taken in response to your request, no later than one (1) month after receipt of your request.
- ACCESS AND CONNECTION
3.1. Access to the O-REASON application is subject to the creation of a User account. The User must provide accurate and complete information when registering and keep this information up to date. The user must create a secure account with a valid email address and, if applicable, the first six digits of the national number on the Belgian identity card. Email verification is mandatory.
3.2. The User may connect to the Application via Itsme. Use of Itsme is subject to the terms and conditions of the third-party service provider.
3.3. The User is responsible for the security of his/her login details. In the event of suspected compromise of the account, the User must immediately inform O-REASON. O-REASON is not responsible for any loss resulting from unauthorized access to the User’s account.
3.4. O-REASON undertakes to protect the confidentiality of its Users’ personal data, in accordance with current data protection legislation. Information collected when creating an account and using the application is processed in accordance with our privacy policy.
3.5. O-REASON reserves the right to refuse access to the application to any User who does not comply with these general conditions of use or who acts in a way that compromises the security or operation of the application.
3.6. You must accept these Terms and Conditions and the Privacy Policy in order to access the Application.
3.7. The User Profile is strictly personal, confidential and non-transferable to third parties. Furthermore, the User is solely responsible for the use made of his/her User Profile. The User shall also ensure that his/her login details remain strictly confidential. O-REASON is not obliged to actively monitor User profiles, but may do so if required.
- O-REASON’S OBLIGATIONS
4.1 O-REASON undertakes to take all reasonable and necessary measures to ensure the proper functioning, security and accessibility of its Application. These measures are of a technical, non-technical and organizational nature. However, O-REASON is not bound by an obligation of result but by an obligation of means.
4.2. In order to guarantee the proper functioning of the Application, O-REASON reserves the right to publish new versions, updates and releases of its Application at any time. The present Terms and Conditions shall continue to apply in their entirety to such new versions. The User is under no obligation to install these renewed versions, even if strongly advised to do so.
4.3. O-REASON takes all necessary measures to keep the information on the Application and its content as complete, accurate and up-to-date as possible. However, this is also an obligation of means only. Defects, incorrect information and technical remarks (“bugs”) can always be communicated to O-REASON by e-mail.
- OBLIGATIONS OF THE USER
5.1. The User undertakes to use the O-REASON application in accordance with its intended purpose, and any misuse or use in violation of these GCU is strictly prohibited.
5.2. The User shall comply with all applicable laws and regulations, including but not limited to laws relating to fraud, counterfeiting and e-commerce.
5.3. The User is responsible for maintaining the confidentiality and security of his account and transactions. He must take all necessary measures to prevent unauthorized access to his account and immediately notify O-REASON of any suspicious use.
5.4. The User agrees not to violate the intellectual property rights, privacy rights, or any other rights of others when using the application.
- DATA PROTECTION
6.1. Personal data provided by the User is collected and processed by O-REASON. O-REASON assures its Users that it attaches the utmost importance to the protection of their privacy and their personal data, whether sensitive or not, and that it always undertakes to communicate clearly and transparently on this point.
6.2. O-REASON is committed to complying with applicable legislation in this area, in particular the RGPD (General Data Protection Regulation). You will find more information about the processing of your personal data in our privacy policy.
6.3. O-REASON is entitled to make one or more copies and/or back-ups of personal data. The personal data concerned enjoys the same protection as the original personal data.
6.4. O-Reason implements all appropriate technical and organizational measures, in accordance with Article 32 of the RGPD, to ensure the security, confidentiality and integrity of personal data, and to protect its systems against cyber-attacks, unauthorized access, accidental loss or alteration of data. However, despite all reasonable means put in place to prevent such situations, O-Reason cannot guarantee absolute security against cyber-attacks or security incidents beyond its control, linked in particular to unforeseeable technical vulnerabilities or third-party attacks.
- RESPONSIBILITY
7.1. O-REASON cannot guarantee that the Application will function without interruptions, errors or defects. O-REASON reserves the right to interrupt the operation of the Application, in whole or in part, at any time. The Application and associated services are offered “asis” and “as available”. O-REASON makes no warranties of any kind, express or implied.
7.2. Any documents, information or proposals provided by O-REASON are for information purposes only and O-REASON cannot be held responsible for their content, completeness or accuracy. If you notice any errors, please let us know by e-mail.
7.3. Any use of the Application is at the User’s own risk. O-REASON cannot be held liable for any direct or indirect damage arising from the use or installation of the Application. O-REASON does not exclude liability for fraud or gross negligence, provided such fraud or gross negligence is attributable to O-REASON.
7.4. O-REASON is not responsible for links, hyperlinks or image links to external websites whose content is controlled by third parties. The presence of such a link does not automatically imply that a relationship exists between O-REASON and the external website, nor that O-REASON agrees with the content of such websites.
7.5. The User is not authorized to make any modifications to the Application. Should you nevertheless do so, O-REASON shall in no event be held liable for any damages resulting from such modifications.
- INTELLECTUAL PROPERTY
8.1. The Application is protected by intellectual property rights. All such intellectual property rights, as well as derivative rights, belong exclusively to O-REASON. These rights include, but are not limited to: copyright, trademark rights, computer program rights, design rights, technical or commercial know-how, methods and concepts.
8.2. Use of the Application in no way implies the transfer of these intellectual property rights to the User. The User undertakes not to make any changes to the intellectual property rights described in this article without the prior authorization of O-REASON.
- FINAL PROVISIONS
9.1 The headings used in our General Terms and Conditions are purely illustrative and have no legal force in the event of a dispute concerning the provisions set out under these headings.
9.2. Should the existence or validity of one or more of the provisions of these General Terms and Conditions be compromised, this will have no effect on the existence or validity of the other clauses of this agreement. In such a case, we have the right to replace the inapplicable clause by a provision valid in law and of similar scope.
9.3. The use of the Application and the application of these General Terms and Conditions are governed exclusively by Belgian law. In the event of a dispute, the parties agree to first seek an amicable solution. Failing amicable resolution, the dispute shall be submitted to the exclusive jurisdiction of the French-speaking courts of the judicial district of Namur.
